CONTRACT FOR THE SALE OF TOURISM ACCOMMODATION SERVICES

ARTICLE ONE. PARTIES: On the one hand, TOUR VACATION HOTELES AZUL S.A.S. BIC, with

Tax ID No. 900.304.940-9, hereinafter referred to as THE SELLER, and, on the other hand, THE BUYER, who is duly identified in the reservation details.

SECTION ONE: TOUR VACATION HOTELES AZUL S.A.S. BIC is a travel agency

a travel and tourism company engaged in the marketing and sale of tourism products and services, among other activities, as indicated in the Certificate of Incorporation and Legal Representation, with National Tourism Registry number 26847.

ARTICLE TWO. PURPOSE: The BUYER hereby agrees with the SELLER to purchase a travel package in exchange for a price and in accordance with the specifications set forth herein

SECTION ONE: The contract price includes fees, surcharges, and taxes (administrative fees, statutory withholdings, statutory taxes). NOT INCLUDED: 1. Tourist cards . 2. Admission tickets to the selected destination. 3. Other taxes established by the competent authorities. 4. Items not specified in the purchased package. 5. Airline tickets or transfers to the selected hotel. 6. Transportation to and from the hotel. 7. Special services are not included in the travel package and are purchased by THE SELLER from suppliers at the express request of THE BUYER for the organization of events, such as weddings, conventions, birthdays, among others, and will be paid for by THE BUYER under the terms established by the provider of the requested additional service; These services may be purchased at the time of booking or added later by THE BUYER and must be paid in equal monthly installments in accordance with the account statement and must be paid in full at least 30 days prior to the event and the start of the booking cycle to confirm the service with the special service provider.

SECOND PARAGRAPH: INFANTS AND CHILDREN: An infant is defined as any person under 2 years of age on the date of return from the trip; a child is defined as any person over 2 years of age and under 12 years of age on the date of return from the trip; an adult passenger is defined as any person over 12 years of age and under 65 years of age on the date of return from the trip; a senior passenger is defined as any person over 65 years of age. Infants and children are not permitted to enter hotels unless accompanied by a legal guardian, parent, or tutor, or unless they have permission to leave the country. (Subject to the regulations of Ecuadorian Immigration and each airline)

THIRD CLAUSE. PRICE: THE BUYER agrees to pay unconditionally to THE SELLER the total amount of Two Million Five Hundred Ninety-Five Thousand COP ($2,595,000.00), WHICH SHALL BE PAID EXCLUSIVELY THROUGH THE ELECTRONIC AND IN-PERSON METHODS DESCRIBED BELOW: 1. ONLINE PAYMENTS

SECTION ONE: PAYMENT INFORMATION: In order to avoid payment issues, THE BUYER is hereby informed that THE SELLER shall not be liable for payments made in a manner other than that specified in clause three, and in particular for cash payments made to the sales representative, TOUR VACATION HOTELES AZUL S.A.S. BIC, and shall not be liable for funds that have not been recorded in its accounting records. Any claims arising from payments must be filed with THE SELLER’s Customer Service Department in Bogotá by calling (601) 3848580, and/or by submitting a request through the PQRSF submission form at the link https://servicioalcliente.onvacation.com.

 

CLAUSE FOUR.- FORM OF PAYMENT FOR TRIPS WITH A DATE LONGER THAN 31 DAYS

(SCHEDULED SALE): If the trip takes place 31 calendar days or more after the execution of this contract, THE BUYER must pay at least 100% of the final price of the package to make a reservation. The balance shall be paid in equal monthly installments, consecutively as specified in the account statement, which forms an integral part of this contract, until 100% of the final value of the plan is paid, with a maximum term of 30 calendar days prior to the travel date.

 

CLAUSE FIVE.- FORM OF PAYMENT FOR TRIPS WITH A DATE OF LESS THAN 30 DAYS

(SAME-DAY BOOKING): If the trip is to take place within thirty (30) calendar days of the execution of this contract, THE BUYER must pay at least 40% of the final cost of the package to make the reservation. The balance shall be paid twenty (20) calendar days prior to the travel date, in accordance with the statement of account, which forms an integral part of this contract. If the trip is to take place within twenty (20) calendar days following receipt of this contract via email by THE BUYER, THE BUYER must pay 100% of the final price immediately.

ARTICLE SIX. ENTRY INTO FORCE: The contract entered into between the parties shall take effect upon the first payment made by THE BUYER throughany of the SELLER’s official payment methods and upon confirmation of the

 

subject to the SELLER's discretion, and the SELLER's primary obligations shall be fulfilled upon receipt of full payment for the agreed-upon contract and on the dates specified in the contract.

SECTION ON THE RIGHT OF WITHDRAWAL: THE BUYER has the right of withdrawal, which may be exercised within five (5) business days following the execution of this contract; this will terminate the contract, and the amount paid must be refunded in accordance with the law within 30 calendar days, and for e-commerce purchases (website), within 15 calendar days. The request for withdrawal must be filed through the “File a PQRSF” module at the link https://servicioalcliente.onvacation.com. For sales on the day of purchase, in accordance with Article 47 of the Consumer Statute, due to the nature of the service, the right of withdrawal shall only apply if the service has not begun to be performed within 5 business days.

SECTION: PAYMENT REFUND. If the BUYER determines that a transaction is fraudulent or unauthorized, or that the service provided does not match what was requested, must file a complaint with the SELLER within five (5) business days following the date on which THE BUYER became aware of the fraudulent or unsolicited transaction and notify the issuing bank of the claim, for the purpose of coordinating the payment reversal in accordance with Law 1480 of 2011 and Decree 587 of 2016.

CLAUSE SEVEN. CHANGES AND UPDATES: THE BUYER may make changes to their reservation through the platform https://mireserva.onvacation.com/, where the system will ask for the reservation number and the holder’s ID number. Additionally, changes to the tour package reservation, the product and/or service purchased, and other conditions may be requested via the link https://servicioalcliente.onvacation.com/ For changes to the point of origin, changes to accommodations, or a change of hotel within the same destination, only an adjustment to the rate in effect at the time of the change will apply. For other changes, the administrative fees listed in the table of changes and updates will apply, along with a rate adjustment for changes or other additions, which will be billed to THE BUYER at that time and are due for immediate and full payment, or the BUYER may request the excess amount in services provided by the company; or in cash if the variation or change in the service is attributable to THE SELLER, except for modifications and changes determined by the service providers, in accordance with the liability clause and the terms and conditions established by them, in order to ensure the success of the trip. The amount to be paid by THE BUYER for any required changes and updates is set forth below:

  1. Change of destination to a higher category with a travel date greater than 30 days applies only readjustment of the current rate.
  2. For change of date and change of destination less than or equal to 30 days, the resulting value once discounted the value to be assumed by the PURCHASER for the change and novelty required, will be reimbursed within the terms established by law. The charges for changes and novelties of the previous table described in this contract, will be applicable for each person of the reservation, which from the perfection of the contract the PURCHASER declares are known, informed, explained and accepted.
  3. In cases where the PURCHASER wishes to make a change of destination or date, the current rate will be applied provided that it is not lower than the initial rate purchased, in which case the initial purchase rate will be applied.
  4. For changes of name, date and destination in the contracted special services, THE PURCHASER shall assume the total cost or the one determined by the supplier of the contracted special service, under the understanding that the contracted special services correspond to customized goods or services according to THE PURCHASER's specifications for the special need of its event; as well as the special food services that due to their nature cannot be returned due to their deterioration and expiration.

SECTION ONE.—TRAVEL DEPOSIT: The purpose of this provision is to guarantee the use of tourism services, excluding air transportation, subject only to the payment of the travel deposit described in the table of changes and updates in Section Seven, for customers in the following cases:

  1. A) Death of any passenger listed on the reservation; in this case, 100% of the amount paid for the passengers on the reservation will be refunded if so determined by THE PURCHASER, subject to the terms of the guarantee under B) Unlawful deprivation of liberty of any traveler listed on the reservation. C) Illness certified by a health center authorized by the Ministry of Health or the National Health Superintendency of any of the travelers listed on the reservation, where their condition expressly indicates the impossibility of using the services, guarantees the rescheduling of the trip without penalty for the affected traveler only. D) Blockage of access routes to the departure location or terminal, certified by competent authorities, guarantees rescheduling of the trip without penalty. E) In the event of the death of a family member of a passenger on the reservation, or an illness certified by an EPS or by a health center authorized by the Ministry of Health or the National Health Superintendency affecting a first-degree relative or spouse, the trip may be rescheduled without penalty. F) For any of the events listed in the Liability clause (Eleventh) of this contract. G) For cancellation of the entire reservation or of one or more passengers. CONDITIONS: For all events described in sections A through G, the travel guarantee fee must be paid; the travel guarantee applies to passengers who purchase it to participate in the company’s tour program; coverage begins once the tour service has been purchased and travel documents issued, and expires upon completion of the contracted tour services; the period to claim the guarantee is eight (8) calendar days from the occurrence of any of the events described. Air transportation services under the plan are not included in the guarantee coverage; airline tickets are governed directly by each airline’s service contract, therefore, any applicable charges, exceptions, or force majeure, as well as the terms of use for the ticketing service, will be those determined by the airline authorized by the Civil Aviation Authority and charged to the reservation holder. To reactivate the reservation and access the services, the customer must pay the fare adjustment, the cost of canceling special event services with the provider, and the travel guarantee deduction.

 

SECOND PARAGRAPH: REACTIVATIONS: In the event that the reservation has been canceled due to a breach by THE BUYER, THE BUYER may reactivate it, provided that the parties agree on a new travel date, with a recalculation of rates based on the travel season and subject to availability, or terminate the contract. In both cases, the applicable additional charges to be borne by THE BUYER, the rate adjustment, and the deduction of the security deposit for each reactivation must be taken into account; in the event of cancellation, the penalties set forth in Clause Eight of this contract shall apply.

SECTION THREE: MI RESERVA.COM: THE BUYER may make changes to their reservation through the platform https://mireserva.onvacation.com/, where the system will ask for the reservation number and the holder’s ID number. Once registered, the system will send a verification message to the email address and/or phone number provided at the time of booking. After receiving confirmation, you may make any desired changes to your reservation.

 

It is the BUYER’s responsibility, from the moment the reservation is created, to enter their information and that of the passengers included in the reservation, such as: names, dates of birth, type and number of identification document, city of origin, city of residence, reason for travel, and any other information required for the proper creation of the reservation and provision of the service. The BUYER must provide this information at the time the reservation is made or before the contract is finalized with the first payment of the reservation; and may make any necessary changes through the “My Reservation” platform at the link https://mireserva.onvacation.com/, immediately paying any applicable administrative fees. Changes via the platform may be made up to 30 calendar days prior to the travel date. Failure to provide the information required for the proper provision of the tourism service will result in the cancellation of the reservation, and the penalty described in clause eight of this contract will apply. For THE BUYER who purchases a fare or ticket with flexibility regarding the inclusion of names, the benefit acquired will apply in accordance with the verification of terms.

CLAUSE EIGHT: PENALTIES: The penalties set forth in this contract shall apply to each person in the reservation and are described below; they are known, disclosed, explained, and accepted by THE BUYER. In the event of trip cancellation, 100% of the Travel Guarantee per passenger will be deducted. The BUYER may make any cancellation of the tour package reservation, the provision of the purchased product and/or service, and other conditions via the link https://servicioalcliente.onvacation.com/, bearing in mind that the conditions in the following table will apply:

  1. Non-presentation by PURCHASER to the previously contracted service.
  2. In the case of cancellations less than or equal to 30 days, the resulting amount, after deducting the corresponding penalty, will be reimbursed within the terms established by law.
  3. For cancellation of the contracted special services, PURCHASER shall assume the total cost or the one determined by the supplier of the contracted special service, under the understanding that the contracted special services correspond to customized goods or services according to the specifications of PURCHASER for the special need of its event; as well as the special food services that due to their nature cannot be returned due to their deterioration and expiration.

THE SELLER shall proceed to cancel the respective reservations in the following cases: 1) If within the 24 hours following the fixing of the reservation, the corresponding payment to maintain it has not been made. 2) When the PURCHASER does not make the monthly and proportional payments on the dates and for the amount established in the account statement. 3) In case this contract is not paid in full at least thirty (30) calendar days before the travel date or twenty (20) calendar days before the travel date depending on whether it is a scheduled sale or a day sale.

CLAUSE NINE. TERMINATION: THE SELLER may terminate this contract for cause if THE BUYER fails to make timely partial or full payment under this contract. In the event of termination of the contract by either party, the SELLER shall proceed to settle and demand payment of the corresponding proportional amounts for the no-show at the hotel, the cost of having reserved seats on flights, and the expenses incurred by the SELLER for the reservation with its suppliers. THE PARTIES acknowledge the enforceable nature of this contract.

CLAUSE TEN. TERMS AND CONDITIONS: The TERMS AND CONDITIONS explained to THE BUYER form an integral part of this contract. THE BUYER agrees that there are no additional verbal promises or conditions, as this contract and the attached document set forth all the provisions, conditions, and services that they hereby accept and acquire.

CLAUSE ELEVEN. LIABILITY AND OBLIGATIONS CLAUSE:

TOUR VACATION HOTELES AZUL S.A.S. BIC, sus operadores y agentes se responsabilizan ante EL COMPRADOR por la prestación completa y por la calidad de los servicios turísticos descritos ofrecidos directamente, en los términos del Decreto 2438 de 2010, Ley 300 de 1996, Ley 1480 de 2011 y demás leyes y normas que las complementen y adicionan. De acuerdo con la Ley turística y en especial al Decreto 2438 del 9 de julio de 2010, se determina que: 1. EL VENDEDOR, sus operadores y agentes, no se hacen responsables por las cancelaciones, demoras, daños, eventos o inconvenientes que se causen o presenten por o con ocasión de eventos como fuerza mayor o caso fortuito, tales como huracán, maremoto, terremoto, accidentes, fenómenos climáticos o naturales, condiciones de seguridad, factores políticos, huelgas, paros, guerras, asonadas, negación de permisos de ingreso, asuntos de salubridad y cualquier otro evento, tales como sobreventa, desvíos, sobreocupación y cualquier otro evento atribuible a un factor externo de Comercio que pueda ser catalogado dentro de los mismos que pudieren ocurrir durante el viaje o antes de este. Que no podrán ser previsibles e irresistibles por parte de EL VENDEROR, pese a actuar con la debida diligencia y previsión de cada caso. 2. Por las razones mencionadas anteriormente y con el fin de garantizar el éxito del viaje EL VENDEDOR tiene la facultad de efectuar las modificaciones a los servicios turísticos ofrecidos y contratados. 3. EL VENDEDOR, sus operadores y agentes no se hacen responsables por los accidentes que EL COMPRADOR sufra en el lugar u hotel de destino, pues tal responsabilidad concierne únicamente a ELCOMPRADOR o al HOTEL en el caso concreto o del seguro hotelero contratado por EL COMPRADOR para tal fin. 4. En caso de daño, irregularidades o alteraciones de las aeronaves, situaciones adversas de las aerolíneas contratadas, condiciones climáticas adversas, circunstancias anormales en los puertos de embarque y desembarque de pasajeros; cambio de itinerario, retrasos, dilaciones, aplazamientos y cualquier otro incidente fuera del ámbito de control de EL VENDEDOR en que los vuelos sean retrasados en su lugar de origen o en cualquier otra ubicación, sin que exista en ningún caso algún tipo de responsabilidad de EL VENDEDOR, será la aerolínea la responsable de todas las cancelaciones, aplazamientos, retrasos o anomalías de los vuelos e itinerario que le sean imputables, por lo que EL VENDEDOR no es responsable de éstas. La aerolínea se reserva las facultades conforme al contrato de transporte aéreo y en particular las contenidas en el Reglamento Aeronáutico Colombiano. 5. Se entiende que cuando EL COMPRADOR adquiere el paquete turístico de los enunciados en este documento, conoce y comprende las distintas categorías de hoteles ofrecidos y que se le han hecho saber todas las características, servicios incluidos y no incluidos del hotel elegido o seleccionado por éste y las acepta, incluidos los horarios de alimentación, entrada y salida. 6. EL VENDEDOR, sus agentes y operadores no se hacen responsables frente a los asuntos legales u otros inconvenientes en que pueda verse involucrado EL COMPRADOR, tampoco frente a los gastos personales cuando EL COMPRADOR se vea obligado a retirarse del viaje o la prestación de los servicios turísticos por tales motivos, teniendo en cuenta que dichos gastos deberán ser asumidos únicamente por EL COMPRADOR. 7. EL VENDEDOR, sus agentes y operadores no se hacen responsables de la pérdida, sustracción, deterioro o daño del equipaje y demás objetos que EL COMPRADOR lleve consigo. EL COMPRADOR deberá antes del viaje, consultar las políticas de equipaje de las aerolíneas que prestarán el servicio aéreo, informándose sobre las dimensiones, peso y elementos que puede o no transportar en el equipaje, tales como Equipaje libre permitido, Equipaje de mano, transporte de mascotas, Exceso de equipaje, Equipaje especial, Mercancías prohibidas y peligrosas, y demás recomendaciones generales importantes para usar el transporte aéreo. 8. EL VENDEDOR sus agentes y operadores tendrán la facultad de retirar del viaje a quien incurra en cualquier violación al Código Nacional de Policía o incumpla las obligaciones de su carácter de huésped emanadas del contrato de hospedaje, caso en el cual El COMPRADOR tendrá derecho al reintegro del valor de los servicios turísticos no disfrutados. 9. EL COMPRADOR deberá pagar los daños que ocasione a la infraestructura del hotel, a los bienes en el incorporados o a los demás huéspedes, y EL VENDEDOR podrá cobrarle mediante vía ejecutiva, las facturas que acrediten los gastos derivados de dichas acciones declarando que prestan pleno mérito ejecutivo. 10. Acepta EL COMPRADOR desde este momento y se compromete a pagar incondicionalmente el total de la factura que emita EL VENDEDOR, por concepto de servicios de alojamiento y alimentación que le suministren por cualquier circunstancia de fuerza mayor, incluida la obligación de guardar estricta cuarentena en el Hotel por ser positivo para COVID-19 si sobre pasa su periodo de alojamiento inicialmente contratado, igualmente EL COMPRADOR asumirá el costo, penalidades y demás valores que se generen por los cambios de fecha de los tiquetes aéreos debido a las circunstancias de fuerza mayor y/o enfermedad por Covid-19 que le sobrevengan durante su permanencia en el establecimiento hotelero. 11. EL VENDEDOR sus agentes y operadores podrán dar información a EL COMPRADOR, previa solicitud por escrito, para la obtención de la documentación requerida para su desplazamiento en los destinos nacionales e internacionales, siendo obligación de EL COMPRADOR el cumplimiento de los requisitos respectivos. EL VENDEDOR sus agentes y operadores no asumen responsabilidad alguna en caso que las autoridades del destino, país o países visitados, nieguen a EL COMPRADOR los documentos requeridos para el ingreso o no se lo permitan, evento en el cual EL COMPRADOR tendrá derecho al reintegro del valor de los servicios turísticos no disfrutados, con exclusión de las penalidades que cobre EL VENDEDOR y los proveedores conforme a sus propias reglamentaciones y de la silla aérea utilizada para el transporte, si fuere el caso. 12. EL VENDEDOR podrá hacer los ajustes o cambios necesarios en la reserva, si el país al que se dirigen presenta problemas sociales, económicos, políticos o de orden público que generen riesgos a la seguridad e integridad física del COMPRADOR y/o sus acompañantes.

 

Obligations of THE VENDOR; undertakes to provide a tourist service with the quality required by the Consumer Statute under the terms of Decree 2438 of 2010, Law 300 of 1996, Law 1480 of 2011 and other laws and regulations that complement and add to them. THE VENDOR undertakes to provide information on the products and services for accommodation, rates and availability of the hotels, to attend in an adequate, timely and respectful manner to all the requirements of THE BUYER without exception or discrimination based on sex, race, age, illness or creed. THE VENDOR shall have and use all the physical resources, technological, didactic and assistance elements available to the company, ensuring optimum quality in the provision of the service. The VENDOR guarantees that the required permits or licenses are in force, and in case of non-compliance with its obligations, the client may request a proportional refund of the service not provided, reschedule the travel date in case of a cancellation attributable to the VENDOR or if it is not possible to arrange a new travel date; in that event, the money will be refunded in accordance with the terms of Decree 2438 of 2010.

CLAUSE TWELFTH. OBLIGATIONS OF THE PARTIES: In addition to the obligations contemplated in the legislation applicable to the contract on tourism and commercial matters, THE BUYER declares that it was adequately informed of the scope of the liability clause that THE SELLER has as a tourist service provider according to the Tourism Law, and THE BUYER declares that it has received a copy of the Liability Clause included in this contract.

CLAUSE THIRTEEN. GENERAL CONDITIONS: 1 . The BUYER has been adequately informed of the liability and operational conditions established by the Tourism Law. The BUYER has been informed of the health and epidemic control measures that must be complied with in order to travel to the destination. 2. The term of the legal warranty for the tourism services under this contract shall be forty-five (45) calendar days following the execution of this contract, counted from the day after the trip’s conclusion, during which time THE BUYER, in accordance with Article 58(3) of Law 1480 of 2011, must file a direct claim. 3. THE SELLER rejects any form of exploitation, pornography, violence, and sex tourism; THE SELLER is committed to the protection and prevention of all forms of sexual exploitation, pornography, and sex tourism involving children and adolescents in accordance with Law 1336 of 2001 and Law 679 of 2001, and other regulations that supplement or amend them. Additionally, THE SELLER warns THE BUYER that the sexual exploitation and sexual abuse of children and adolescents in Colombia are subject to criminal and administrative penalties in accordance with applicable laws.

CLAUSE FOURTEEN: HABEAS DATA: THE BUYER hereby grants TOUR VACATION HOTELES AZUL S.A.S. BIC prior, express, and informed authorization, in accordance with the terms of Statutory Law 1581 of 2012 and its regulatory decrees, to collect, record, store, manage, use, transmit, update, and delete their data for the purposes of administrative management, billing management, collection and payment management, financial and accounting management, internal statistics management, opinion surveys, data update campaigns, and notifications of changes in the processing of personal data, as well as analysis for the control and prevention of fraud and money laundering, including but not limited to consulting reports on restricted lists, credit bureaus, or databases to prevent any type of activity related to ML/TF, responding to information requests, marketing, commercial prospecting, and the transmission of data within the framework of this contractual relationship to its partner companies.

Likewise, you hereby grant FINANTODO S.A.S., a partner company of TOUR VACATION HOTELES AZUL S.A.S. (BIC), prior, express, and informed authorization, in compliance with Law 1266 of 2008, to collect, record, store, manage, use, transmit, update, and delete your data for the purpose of conducting inquiries and reporting to legally established credit bureaus, managing compliance with and non-compliance regarding financial obligations, and verifying the financial, credit, and commercial information collected for the purpose of obtaining loans.

It is optional to provide information about minors or sensitive data, understood as those that may affect privacy or generate some type of discrimination.

In accordance with Article 8 of Statutory Law 1581 of 2012, the BUYER has the following rights regarding the personal data provided: a) To access, update, and correct their personal data held by TOUR VACATION HOTELES AZUL S.A.S. BIC. b) To request proof of the authorization granted to TOUR VACATION HOTELES AZUL S.A.S. BIC for the collection and use of personal data, except when such authorization is not required under the terms of Statutory Law 1581 of 2012. c) To be informed by TOUR VACATION HOTELES AZUL S.A.S. BIC, upon request by THE BUYER, regarding the use that has been made of their personal data. d) File a complaint with the Superintendency of Industry and Commerce regarding violations of Statutory Law 1581 of 2012 and any other regulations that modify, add to, or supplement it. e) Revoke the authorization and/or request the deletion of personal data when its collection and/or use does not respect constitutional and legal principles, rights, and guarantees. The revocation and/or deletion of the data shall proceed when the Superintendency of Industry and Commerce has determined that, in said collection, TOUR VACATION HOTELES AZUL S.A.S. BIC hasengaged in conduct contrary to Statutory Law 1581 of 2012. f) Access, free of charge, your personal data that has been collected and/or used. THE BUYER may exercise their rights with TOUR VACATION HOTELES AZUL S.A.S. BIC and/or its affiliated companies by calling (1) 3848580 in Bogotá or by submitting a request via the link https://servicioalcliente.onvacation.com/ Finally, THE BUYER may access the privacy and personal data confidentiality policies of TOUR VACATION HOTELES AZUL S.A.S. BIC, as well as any substantial changes thereto, through the website https://www.onvacation.com. In the case of FINANTODO S.A.S., the privacy and personal data confidentiality policies may be consulted via the website http://info.onvacation.com/site/PoliticaPrivacidadConfidencialidadFinantodo.

CLAUSE FIFTEEN: DECLARATION OF ACCURACY OF THE INFORMATION PROVIDED AND COMMITMENT: UPON THE EXECUTION OF THIS CONTRACT, THE BUYER DECLARES UNDER OATH THAT: A) The information provided in this contract (Clause Two) and recorded in THE SELLER’s reservation system is true and corresponds to the actual information I have provided as THE BUYER, and I declare that I have been previously informed of the processing of such information, which I hereby authorize. B) THE BUYER agrees to notify THE SELLER via the contact methods provided of any error, modification, deletion, or update to the information I declare I have verified; in Bogotá by phone at (1) 3848560 and/or via the link https://servicioalcliente.onvacation.com/ C) As the BUYER, I am hereby advised that any inaccuracy or falsity in the information provided will make it impossible to continue with the proper provision of the contracted tourism services, without prejudice to any legal consequences that may arise from such action due to the falsity or inaccuracy of the information provided to THE SELLER, and I hereby release THE SELLER from liability if, as a result of the falsity or inaccuracy of the information, THE SELLER is unable to notify me of changes, unforeseen events, updates, or any other matter related to the contracted tourism services.

CLAUSE SIXTEEN: DECLARATION BY THE PARTIES: THE SELLER and

THE BUYER agrees that this contract sets forth and incorporates the initial offers made verbally or in writing, directly or indirectly, and that this contract is the sole source of obligations between the parties.

 

The parties agree to comply strictly with the procedures, instructions, manuals, regulations, codes and policies defined by the company, and especially the SAGRILAFT policies and Manual and the Transparency and Business Ethics Program PTEE.

 

THE BUYER hereby declares, under oath, that the funds—whether its own, derived from this contract, or forming part of its assets—do not originate from, nor are they intended for, the conduct of any illegal activity, including money laundering, terrorist financing, or the financing of the proliferation of weapons of mass destruction (ML/TF/WMDP), nor acts of corruption or transnational bribery (C/ST). The parties undertake to carry out all activities aimed at ensuring that all their counterparties (partners, administrators, clients, suppliers, employees, and other stakeholders) and their resources are not related to or derived from illicit activities. If, during the term of the contract, either party or its counterparties are investigated, sanctioned, or convicted in criminal, administrative, or disciplinary proceedings for the conduct described above, or are included on lists binding on Colombia regarding the prevention of ML/TF/WMDP risks, the other party has the right to unilaterally terminate the contract without being obligated to compensate the defaulting party for any damages. Failure to comply with this obligation is expressly classified as a material breach. This statement is made to comply with current legal regulations and Tour’s procedures

 

Vacation Hoteles Azul S.A.S. BIC. on the self-monitoring, prevention, and risk management system for combating money laundering, terrorist financing, and the financing of the proliferation of weapons of mass destruction (SAGRILAFT).

 

ELCOMPRADOR authorizes in the cases of evidence and the need for an intensified due diligence; or it is identified or declared that one of its shareholders, its associates, its partners, its legal representatives and/or its members of the Board of Directors is a Politically Exposed Person (PEP) to verify the truthfulness of the information provided by the PEP, the spouses or permanent partners of the PEP; the PEP's relatives, up to the second degree of consanguinity, second degree of affinity and first civil degree; the associates of a PEP, when the PEP is a partner of, or is associated with, a legal person and, in addition, is the direct or indirect owner of a stake of more than 5% of the legal person, or exercises control of the legal person, under the terms of Article 261 of the Code of Commerce.

 

I hereby expressly state that Tour Vacation Hoteles Azul S.A.S. BIC has informed me of the means by which I can learn about the updates and standards that THE SELLER maintains regarding issues related to bribery, fraud, and corruption; Furthermore, I am aware of the various channels available to receive guidance or report situations that harm the business relationship regarding ethical issues or situations that violate the law, through the ETHICS HOTLINE; such as:
